Notion Partners AI Usage Terms and Conditions

For clients and external partners

At Notion Partners (“Notion”, “we”, “our”, or “us”), we believe in the responsible, transparent and secure use of artificial intelligence (“AI”) to enhance the work we do for our clients. We use AI to support creativity, improve efficiency and generate insights, always under the guidance of our expert teams and in alignment with each client’s expectations and policies.

These AI Usage Terms and Conditions (these “Terms”) govern Notion’s use of AI tools and systems in connection with services provided to the undersigned client or external partner (“Client”) under any Statement of Work (“SOW”) that incorporates these terms by reference. By signing an SOW that references these Terms, Client agrees to be bound by these terms. In the event of a conflict between these Terms and an SOW, these Terms shall control unless there is a specific reference to override these Terms in an applicable SOW.

  • We may use enterprise-grade AI tools (such as Microsoft 365 Copilot, Claude Team and ChatGPT Business) to support creative development deliverables, including research, brainstorming, outlining and drafting.
  • We may use AI to assist with grammar, tone and structure refinement, or to synthesize and analyze information from internal documentation, meeting transcripts, or publicly available sources.
  • Notion professionals will review, edit, and approve all AI-assisted content before delivery. Notion will not deliver content composed entirely by AI.
  • Notion will not use AI to create images of real people without such person’s or people’s explicit consent.
  • Notion will not use AI to validate facts, statistics, or claims without human verification.
  • Notion will not use AI to generate new video, audio, or still image content without explicit Client approval and clear disclosure.
  • Notion will not use AI-generated music or media in deliverables without disclosure and explicit Client approval. If Client approves such use, then Notion will utilize only AI toolsets that are vetted by Notion and commercially licensed.
  • Notion will not input Client confidential information, personally identifiable information (“PII”), protected health information (“PHI”), or proprietary data into any AI tool unless that tool is explicitly approved, secure, and compliant with applicable data protection and retention standards.
  • Notion will not use consumer-grade AI tools (e.g., free versions of ChatGPT) that lack appropriate security, confidentiality and administrative protections for any Client-related work, unless explicitly directed in writing by Client.
  • Where AI contributes meaningfully to a deliverable, Notion will disclose its involvement clearly, whether in client communications, footnotes, captions, or metadata, as appropriate to the format of the deliverable.
  • Disclosure of AI involvement does not require Notion to disclose its proprietary prompts, workflows, configurations, or underlying production methods, which constitute Notion’s confidential information and are expressly excluded from any disclosure obligation.
  • Notion will make reasonable efforts to align with Client’s organization’s AI policies. If Client has specific preferences or restrictions regarding AI usage, Notion will work with Client to ensure Notion’s practices meet those standards, subject to the terms of the applicable SOW.

This Section 4 sets forth binding terms relating to AI-assisted production, ownership and access. To the extent of any conflict between these terms and the applicable SOW or Master Services Agreement, the applicable SOW and/or Master Services Agreement shall govern.

In connection with the services and deliverables provided under any SOW, Notion may conceive, develop, deploy, and/or utilize proprietary workflows, AI systems, prompt engineering frameworks, automation tools, software code, model configurations, production methodologies and other internal processes (collectively, “Production Systems”). For the avoidance of doubt, Production Systems include all derivative works, improvements, enhancements, and AI-generated or AI-assisted outputs that are created by Notion in the course of providing services to Client.

Client acknowledges and agrees that: (a) all Production Systems are and shall remain the sole and exclusive intellectual property of Notion, including all copyrights, patents, trade secrets, trademarks and other proprietary rights embodied therein; (b) to the extent any Production System or component thereof could be characterized as a “work made for hire” under applicable copyright law, it is expressly agreed that such characterization does not apply, and Client hereby irrevocably assigns to Notion any and all right, title and interest Client may have or acquire in any Production System; (c) Client shall have no right to reverse engineer, decompile, replicate, adapt or otherwise exploit any Production System; and (d) Client’s rights are strictly limited to the final edited deliverables expressly identified and accepted under the applicable SOW (the “Final Deliverables”), and Notion hereby assigns to Client all right, title, and interest in and to the Final Deliverables. No ownership interest in, license to, sublicense rights in, or access rights to any Production Systems or underlying materials are granted to Client, whether by implication, estoppel or otherwise, including without limitation:

prompts, prompt structures and generation logic, including any prompts developed specifically in connection with Client’s engagement
source code and software tools

  • model configurations and parameter settings
  • intermediate outputs, draft generations and unused assets
  • workflows, frameworks, trade secrets, and know-how
  • reusable templates, libraries, and asset collections

Notion has no obligation to disclose, deliver, transfer, license or otherwise make available any Production Systems, source materials, intermediate files, editable project files, prompts, model settings, training data or technical infrastructure used or created in connection with the provision of services or the creation of Final Deliverables, unless expressly set forth in a separate written agreement executed by both parties. No course of dealing, course of performance, or trade usage shall be construed to grant Client any rights in any Production Systems not expressly set forth in these Terms. Any feedback, suggestions or input provided by Client regarding Notion’s Production Systems shall be deemed assigned to and owned exclusively by Notion without further obligation or compensation to Client, and Client hereby assigns to Notion all feedback suggestions, and input provided by Client to Notion regarding or related to Notion’s Production Systems.

For the avoidance of doubt, Final Deliverables do not include, and Client acquires no rights in, project files, layered compositions, raw generations, unused shots, underlying AI-generated elements, or any modular components capable of reuse outside the delivered final edited format of the Final Deliverables expressly identified in the applicable SOW. All intellectual property rights rights not expressly granted to Client by Notion in these Terms or in the applicable SOW are reserved by Notion. Client shall not challenge, contest or assist any third party in challenging Notion’s ownership of or rights in any Production Systems. Notion retains the right to use, reproduce, adapt, publish and display any Production Systems, including those developed in whole or in part in connection with Client’s engagement, for any purpose, including in connection with services provided to other clients, subject to Notion’s confidentiality obligations under the applicable SOW.

 

Notion’s use of AI tools does not diminish its responsibility for the quality, accuracy, and appropriateness of the deliverables we provide. Notion remains responsible for the final quality of the work we deliver. Notion will use AI to support, not substitute, our creative process. We are committed to protecting Client’s data, respecting Client brand standards, and maintaining the highest standards of quality and authenticity in everything we deliver.

THE AI TOOLS, PRODUCTION SYSTEMS, AND SERVICES PROVIDED BY NOTION HEREUNDER ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOTION EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOTION MAKES NO WARRANTY THAT: (A) THE USE OF AI TOOLS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) AI-ASSISTED OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR FREE FROM BIAS; (C) ANY DEFECTS OR ERRORS IN AI-GENERATED CONTENT WILL BE CORRECTED; OR (D) AI TOOLS USED IN CONNECTION WITH THE SERVICES WILL MEET CLIENT’S SPECIFIC REQUIREMENTS OR EXPECTATIONS. CLIENT ACKNOWLEDGES THAT AI-GENERATED CONTENT IS SUBJECT TO INHERENT LIMITATIONS AND POTENTIAL INACCURACIES, AND THAT NOTION’S HUMAN REVIEW PROCESS, AS DESCRIBED IN SECTION 1, DOES NOT GUARANTEE THE ELIMINATION OF ALL ERRORS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY NOTION OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY SET FORTH IN THESE TERMS.

Questions regarding these Terms or requests to discuss Client-specific AI usage preferences or restrictions should be directed to Client’s primary Notion account contact. Any modification to these Terms as applied to a specific engagement must be set forth in a written amendment to the applicable SOW signed by authorized representatives of both parties.

Notion reserves the right to update, modify or amend these Terms at any time in its sole discretion, without prior notice to Client. The most current version of these Terms will govern Notion’s provision of services under any SOW that incorporates these Terms by reference. By continuing to engage Notion for services after any update to these Terms becomes effective, Client accepts and agrees to be bound by the updated Terms in their entirety. Client is responsible for reviewing these Terms periodically. Continued engagement following the effective date of any update constitutes Client’s acceptance of all such changes, regardless of whether Client has reviewed the updated Terms.
